Steps to register:
- 1 Choose your legal structure: OÜ (recommended for liability protection and tax efficiency) or FIE (sole trader — simpler but unlimited liability).
- 2 Register online at äriregister.rik.ee using your ID card/Smart-ID — an OÜ can be formed in 1 business day for €265.
- 3 Obtain a bank account for the business: LHV Business (most popular for Estonian startups/freelancers), Swedbank, SEB, or a Wise Business account (for international operations).
- 4 Register for VAT (käibemaksukohuslane) at emta.ee if annual turnover is expected to exceed €40,000 (or voluntarily below this threshold).
- 5 Register as employer at EMTA if hiring employees.
- 6 FIE-specific: Register at EMTA as FIE and set up quarterly social tax advance payments.
- 7 Set up your accounting — most freelancers use Merit Aktiva, SimplBooks, or Raamatupidamine (accounting services) for compliance.
Tax registration
Register your business at äriregister.rik.ee. For VAT: register at emta.ee when approaching €40,000 turnover (or choose voluntary registration earlier). Social tax for FIE: quarterly advance payments based on at least minimum wage × 33%.
VAT threshold
€40,000 annual turnover — mandatory VAT registration required at this point. Voluntary registration possible below this threshold (useful if clients are VAT-registered businesses who can claim input VAT).
Invoicing
Invoices must include: seller's name, address, and registry code; buyer's name and address; invoice number; invoice date; service/goods description; net amount, VAT rate (22% or other), VAT amount, and total amount. E-invoicing (e-arve) is strongly promoted in Estonia and required for business-to-government invoicing.
Social security
FIE (sole trader): pays social tax (sotsiaalmaks) of 33% quarterly, with minimum based on minimum wage (€886/month × 33% = minimum €292/month or ~€875/quarter). This covers health and state pension. Unemployment insurance: FIE can voluntarily contribute. OÜ owner-manager: if taking salary, normal employee contributions apply; if taking dividends only, social tax must still be paid on a minimum salary equivalent.
💡 Estonia's unique corporate tax system — the "distributed profits" model — is a major advantage for OÜ owners. No corporate income tax is due until profits are distributed (as dividends). This allows unlimited tax-free reinvestment of profits within the company. When dividends are paid, 22% corporate income tax is due (applied to the grossed-up amount: dividend × 22/78). Recipients also pay 22% income tax on dividends not already taxed at corporate level — but reduced rate and exemptions apply for regular dividend streams. For e-residents: the OÜ is a legal Estonian company but e-residency does not create Estonian tax residency — company tax residency is determined by place of actual management and control.
